These Terms of Service apply to all services provided by Form & Spec Studio.
By engaging our services, you agree to these terms.
Services
Form & Spec Studio provides technical fashion design and product development services, including but not limited to:
Specification Sheets
Tech Packs
Founder-Led Product Development
The scope of each project will be confirmed in writing before work begins.
Quotes
All quotations are valid for 30 days unless otherwise stated.
Quotes are based on the information provided at the time of enquiry. Additional work outside the agreed scope may incur additional fees.
Payment
Projects under $300 require full payment before work commences.
Projects over $300 require a 50% non-refundable deposit before work begins, with the remaining balance payable prior to the release of final files.
Late payments may result in project delays.
Revisions
Each service includes the number of revisions outlined in your proposal.
Additional revisions or changes outside the agreed project scope will be charged at our current hourly or project rate.

Estimated completion dates are provided in good faith.

Circumstances beyond our control
Client Responsibilities
Clients are responsible for providing accurate and complete project information.
Delays in providing information may impact project timelines.
Intellectual Property
Client Intellectual Property
The client retains ownership of all original concepts, branding, artwork and materials supplied to Form & Spec Studio.
Form & Spec Studio Intellectual Property
Unless otherwise agreed in writing:
All templates, workflows, systems, processes, documents, educational materials, presentations, website content and methodologies remain the exclusive intellectual property of Form & Spec Studio.
Clients may not reproduce, resell, distribute, modify for resale, teach, licence, or commercially exploit these materials without prior written permission.
Upon full payment, the client receives a non-exclusive licence to use the completed deliverables solely for the development, sampling, manufacture and sale of their own products.
Portfolio Rights
Form & Spec Studio may display completed project work within its portfolio, website and social media for promotional purposes.
If you require your project to remain confidential, this must be requested in writing before work commences.
Confidentiality
We will treat all project information as confidential and will not disclose confidential information without consent unless required by law.
Manufacturing Outcomes
Form & Spec Studio provides technical documentation and product development guidance.
We do not manufacture garments and cannot guarantee manufacturing outcomes, fit, production quality, commercial success or supplier performance.
Sampling and production involve multiple variables outside our control.
Limitation of Liability
To the maximum extent permitted by Australian law, Form & Spec Studio's liability is limited to the amount paid for the relevant service.
We are not liable for indirect, incidental or consequential losses including production delays, manufacturing errors, lost profits or business interruption.
Nothing in these Terms excludes any consumer guarantees that cannot legally be excluded under the Australian Consumer Law.
Termination
Either party may terminate a project in writing.
The client remains responsible for payment for work completed up to the date of termination.
Deposits are non-refundable once work has commenced.
Governing Law
These Terms are governed by the laws of Queensland, Australia.
Any disputes will be subject to the jurisdiction of the courts of Queensland.
